The Role of Commercial Contracts
A contract is an agreement between two or more people or entities in which one party agrees to perform a service or provide goods in exchange for money or other goods and services. When an entity performs its obligations under a contract, but the other party does not fulfill its responsibilities under the terms of the agreement, a breach has occurred. In such an instance, the law allows the non-breaching party to seek a remedy from the breaching party, which is usually monetary damages.
Generally speaking, the damages recoverable for a breach of contract are those that naturally result from the breach and would be foreseeable by the breaching party at the time the contract was formed. There is a specific time frame in which legal action can be taken for a breach of contract claim, known as the statute of limitations. In Florida, the statute of limitations for a case involving the breach of a written contract is five years from the date of the breach.
